Terms of Service

These Terms of Service ("Terms") govern your access to and use of EmailSignature.io (the "Service"), provided by Sodasoft LLC ("Sodasoft LLC", "we", "us"), a limited liability company organized under the laws of the State of Wyoming, United States, with its registered office at 30 N Gould St, Sheridan, Wyoming 82801, United States.

By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Service

EmailSignature.io provides centralized email-signature management for businesses, including a signature builder, template library, team-member management, marketing-banner features, and deployment integrations with Google Workspace and Microsoft 365.

2. Accounts and Eligibility

You must be at least 18 years old to use the Service. You are responsible for maintaining the security of your account credentials and all activity that occurs under your account. We use passwordless magic-link sign-in; you are responsible for safeguarding your email inbox accordingly.

3. Subscription Plans and Billing

The Service is offered under multiple plans (Free, Starter, Growth) with monthly or annual billing as set out on our Pricing page. Paid plans are billed in advance and automatically renew at the end of each billing period unless canceled. Annual subscriptions are billed in full at the start of the twelve-month period at the discounted annual rate.

Payments are processed by Stripe, Inc. We do not store your full payment-card details. Taxes (where applicable) are added at checkout. Fees are non-refundable except as required by law or expressly stated in these Terms.

You may cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of the current billing period; your data is retained per the deletion timeline in our Privacy Policy.

4. Acceptable Use

You agree not to use the Service to:

  • send unsolicited bulk email (spam) or otherwise violate CAN-SPAM, GDPR, CASL or comparable laws;
  • infringe intellectual-property or privacy rights of third parties;
  • distribute malware or attempt to gain unauthorized access to other organizations' data;
  • misrepresent your identity or impersonate any person or entity;
  • scrape, reverse-engineer, or replicate the Service for a competing product;
  • circumvent any usage limits, security controls, or access restrictions.

5. Your Content and Data

You retain all rights to the content you upload to the Service (signatures, logos, banners, employee information). You grant us a limited, worldwide, royalty-free license to host, copy, transmit, display, and modify your content solely as required to operate the Service for you and to comply with applicable law.

You are responsible for ensuring that you have a lawful basis to process any personal data you put into the Service about your employees and customers. See the Data Processing & GDPR page for our role as data processor.

6. Deployment Integrations

Where you connect Google Workspace or Microsoft 365 to deploy signatures, you authorize EmailSignature.io to use the OAuth permissions you grant solely to read user directory information and write signature settings on your behalf. You may revoke these permissions at any time from the integrations page or from your identity-provider console.

7. Intellectual Property

Except for your content, the Service (including its software, templates we provide, design system, and documentation) is owned by Sodasoft LLC and protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Service during your subscription term.

Free-plan signatures include the "Powered by EmailSignature.io" attribution. Paid plans may remove this attribution.

8. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own confidential information of like kind (and in no event less than reasonable care), and will use such information only as needed to perform under these Terms.

9. Suspension and Termination

We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or if your account poses a security risk. You may stop using the Service and delete your account at any time from your settings.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SODASOFT LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.

12. Indemnification

You will indemnify and hold Sodasoft LLC harmless from any claim or demand made by any third party arising out of your use of the Service in violation of these Terms or applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wyoming for any disputes that cannot be resolved informally.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced at least 14 days in advance via email or in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
